S. Edward Flanagan

Ed Flanagan is a partner in the firm’s real estate section and a member of the firm’s real estate securities practice group, handling an array of commercial real estate matters including the purchase and sale of developed and undeveloped real estate, the negotiation of related real estate financings, joint ventures and development related work. Further, Ed has developed a national reputation through his active engagement in all facets of real estate syndications (tenant in common syndications, DST syndications, real estate funds, etc.), having represented many syndication sponsors since their very inception.

Prior to joining Kaplan Voekler, Ed was an equity shareholder with Hirschler Fleischer, a mid-sized Richmond firm, and prior to that he held various positions in both the regulated and non-regulated arms of the Bell Atlantic Corporation, the predecessor to Verizon Communications. This extended association has provided Ed with access to a national clientele and given him a keen understanding of the corporate client’s specific legal and business perspectives, knowledge that he uses to the client’s best interests in all negotiations and deal structuring.

Relevant Experience:

  • Servicing commercial real estate clientele with a national exposure, with a particular emphasis on 1031 and fund syndications
  • Representing borrowers in all facets and types of real estate and asset backed financing, including representing borrowers in Fannie Mae, Freddie Mac, CMBS, life insurance and construction loan transactions
  • Providing representation for development work, both locally and outside the Virginia market
  • Negotiation and closing of the transfer of a multitude of income producing investment properties, including multi-family, assisted living, office, hotel, retail and student housing projects
  • Active representation of clients in joint venture arrangements
  • Drafting materials in connection with various private securities offerings
  • Entity formation and structuring for all related transactions

Published Work/Speaking Engagements:

Has lectured on a variety of legal topics including various real estate subjects, DSTs, tenant in common syndications, contract negotiation, trusts and estates matters and entity formation and selection. Frequent lecturer regarding tenant in common syndications, including presentations at ADISA and its predecessor Tenant in Common Association annual conferences. Co-authored and edited various articles.
