D. Zachary “Zach” Grabill

Zach’s practice is focused in all aspects of commercial real estate transactions, with a focus primarily on commercial real estate matters including the purchase and sale of developed and undeveloped real estate, the negotiation of related real estate financings including REIT, tenant-in-common and Delaware statutory trust (“DST”) transactions, conduit lending, construction and development loans, refinancing, and loan workouts. In addition, Zach has represented clients in commercial development and leasing projects including office and retail properties on behalf of landlords, tenants, developers, lenders, and borrowers, and planned development related work on behalf of local and national property developers.  Zach’s recent transactions include the representation of a borrower in a multi-property CMBS syndication, the buyer in the acquisition of multiple medical office building portfolios, a REIT in the acquisition of retail and office properties and DST buyers in the acquisition of office buildings containing AAA-rated tenants, and a developer in the acquisition and development of hotel properties throughout North America, including the negotiation of hotel management agreements for over 150 locations.

Zach has experience working through the complex issues that arise in connection with the acquisition, financing, management and disposition of office, retail, MOB and multi-family property, including:

  • Reviewing, drafting and negotiating leases and lease enforcement, including Landlord/Tenant matters
  • Shopping Center OEA's and REA's, including cost sharing agreements among multiple owners
  • Loan workouts and restructuring
  • Construction loans and permanent financing
  • Conduit loans
  • Investment in tenant in common and DST transactions
  • 1031 tax deferred exchanges
  • Drafting and negotiation of hotel management agreements, franchise agreements, and property sourcing agreements
